1. Acceptance of Terms

By downloading, installing, accessing, or using the Woofer mobile application (the "App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to all the terms, do not access or use the App.

2. Eligibility and Accounts

You must be at least 18 years old to use Woofer. Account creation is handled via third-party Single Sign-On. You are solely responsible for safeguarding your login credentials. We are not liable for any loss or damage arising from your failure to secure your account.

3. User's Sole Responsibility for Safety and Reasonable Judgment

YOU EXPRESSLY ACKNOWLEDGE THAT YOUR USE OF THE APP TO FACILITATE REAL-WORLD MEETUPS IS ENTIRELY AT YOUR OWN RISK. The App merely acts as a digital discovery directory.

You are strictly and solely responsible for your own safety, the safety of your pet, and the safety of any accompanying individuals (such as children or friends). You agree to exercise reasonable judgment, common sense, and extreme caution when interacting with strangers or unfamiliar animals. It is your responsibility to vet other users, choose safe and public meeting locations, and continuously monitor the behavior of all pets involved.

4. Comprehensive Assumption of Foreseeable and Unforeseeable Risks

You acknowledge that arranging playdates with unknown pets and their owners carries inherent risks. By using Woofer, you expressly assume all risks, whether known or unknown, foreseeable or unforeseeable, including but not limited to:

  • Pet-Related Injuries: Dog bites, scratches, maulings, knock-downs, or any other physical injury inflicted by a pet upon yourself, your pet, or third parties.
  • Pet Loss or Death: Your pet escaping, getting lost, running into traffic, or suffering fatal injuries during a Woofer-arranged meetup.
  • Disease and Parasite Transmission: The transmission of zoonotic diseases, viruses, bacteria, or parasites (including but not limited to rabies, parvovirus, kennel cough, ringworm, fleas, and ticks) between pets or from pets to humans.
  • Allergic Reactions: Severe allergic reactions (anaphylaxis) triggered by exposure to other pets, dander, or treats/food provided by other users without your prior knowledge.
  • User Misconduct and Criminal Acts: Harassment, stalking, assault, battery, theft, fraud, emotional abuse, or any other tortious or criminal conduct committed by another user you meet through the App.
  • Property Damage: Damage to your clothing, vehicle, home, electronics, or other personal property caused by another user or their pet.
  • Travel and Environmental Hazards: Automotive accidents occurring while traveling to or from a meetup, as well as injuries resulting from unsafe meetup environments (e.g., uneven terrain at dog parks, broken glass, traffic exposure).

5. Force Majeure and Acts of God

Carmen Specialty Corporation of Nevada shall not be held liable for any injuries, damages, or failures to perform resulting directly or indirectly from "Acts of God" or circumstances beyond our reasonable control. This includes, but is not limited to: severe weather events (lightning, hurricanes, floods, extreme heat or cold) occurring during a playdate, natural disasters, utility failures, internet outages, public health emergencies, pandemics, or governmental actions that may affect your meetup or use of the App.

6. Complete Release of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE Carmen Specialty Corporation of Nevada, its owners, directors, officers, employees, investors, and agents from any and all liability, claims, demands, actions, and causes of action whatsoever arising out of or related to any loss, damage, or injury, including death, that may be sustained by you, your pet, or any of your property, whether caused by the negligence of the Company or otherwise, while using the App or participating in any activities arising from the App.

7. No Duty to Rescue or Intervene

You acknowledge that the Company has no physical presence at your meetups and has no ability or legal duty to rescue, protect, or intervene in any dispute, physical altercation, or dangerous situation that arises between users or their pets. We do not provide security, emergency response, or veterinary services.

8. Location Sharing Risks

The App's "Share My Location" feature broadcasts your precise GPS location. YOU ASSUME ALL RISKS OF SHARING YOUR EXACT WHEREABOUTS. We are not liable if a user utilizes this feature to stalk, follow, or ambush you.

9. Disclaimers of Warranties

THE APP IS PROVIDED "AS IS." WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE APP IS SAFE, BUG-FREE, OR THAT OTHER USERS ARE HONEST AND NON-DANGEROUS.

10. Limitation of Liability

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE PAST TWELVE MONTHS, OR FIFTY US DOLLARS ($50.00), WHICHEVER IS GREATER.

11. Indemnification

You agree to aggressively defend, indemnify, and hold harmless the Company from any claims, lawsuits, veterinary bills, medical bills, or legal fees arising from your use of the App, your pet's actions, or your violation of these Terms.

12. Dispute Resolution: Binding Arbitration and Class Action Waiver

All disputes shall be resolved by binding arbitration in Las Vegas, Nevada. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT.
